By scheduling service, requesting a quote, or using our website, you agree to the following:

  • All estimates are provided in good faith based on available information.

  • Final pricing may vary based on site conditions, scope changes, or unforeseen requirements.

  • Emergency or after-hours services may incur additional charges.

  • Down Payment is due which will be 10% or $1000.oo whichever is less, 70% progress payment at start of job and Final Payment is due upon completion unless otherwise stated in a signed service agreement.

Accepted forms of payment include:

  • Cash

  • Credit/Debit Cards, Cards will be charged 4%

  • Checks

  • Financing via approved third-party partners

A $50 service fee may apply for returned checks. Unpaid invoices past 30 days may be subject to a late fee and/or collections.

  • Please provide at least 24 hours’ notice for cancellations or reschedules.

The Fine Print

1. Payment Terms: Delightful Duck Cooling and Heating terms for each sale to Customer 10% or $1000 down whichever is less,70% upon start of job and any balances are due upon completion of work.No net 30 clients unless otherwise stated on a Delightful Duck Cooling and Heatings invoice in which case payment is due no less than 30 days from completion of work. Any dispute with respect to an invoice, statement, charge or credit on Customer’s account, must be received byDelightful Duck Cooling and Heating, in writing, within 5 days of Customer’s receipt of such invoice, statement, charge or credit, or Customer waives any such dispute.
2. Taxes: Prices do not include sales, use, excise or similar taxes. In addition to the price specified herein, the amount of any present or future sales, use, excise or other similar tax applicable to the sale or use of the goods, imposed by any authority, shall be paid by the Customer at the time of delivery, or in lieu thereof, the Customer shall provide Delightful Duck Cooling and Heating. with a tax-exemption certificate acceptable to the taxing authorities.
3. Default: In consideration of Delightful Duck Cooling and Heating extending credit to Customer, Customer promises full and prompt payment of all indebtedness, obligations and liabilities of every kind, present and future, incurred by Customer for goods and/or services purchased from Delightful Duck Cooling and Heating. Customer’s failure to make timely payment of any invoice shall result in Customer’s account being deemed in default, which may result in the account being placed on a COD basis, suspended, or cancelled; in the event of Customer’s default, Delightful Duck Cooling and Heating may (at its option) declare all indebtedness owed by Customer to Delightful Duck Cooling and Heating. immediately due and payable. A service charge of 24% per annum (2% per month) shall be assessed on all delinquent invoices. If Customer’s account is referred to an attorney or collection agency to collect on any indebtedness owed to Delightful Duck Cooling and Heating, Customer agrees to pay upon demand from Delightful Duck Cooling and Heating, all costs of collection, including reasonable attorneys’ fees and court costs. Delightful Duck Cooling and Heating. is not responsible for condensation conditions, which may occur, in some existing chimneys under certain circumstances. These conditions, however rare, are related to chimney design, position, location, age, etcs, If it is necessary to take legal action to collect any outstanding balances, the customer will be responsible for all legal fees in addition to service charges. If any of Delightful Duck Cooling and Heating. employees encounter asbestos in or around the vicinity of the work area, all work will cease until a licensed asbestos abatement contractor removed asbestos. It is the responsibility of the customer/owner to provide a work area free of asbestos, unless removal of such has been specifically covered by our agreement in writing. Delightful Duck Cooling and Heating. are not responsible for the conditions of any existing material or equipment to which we connect. No warranty is expressed or implied on such material or equipment, When replacing air conditioning components, Delightful Duck Cooling and Heating. is not responsible for leaks in any existing components or part of the system. Delightful Duck Cooling and Heating. is only responsible for the equipment/parts we installed. Delightful Duck Cooling and Heating. is not responsible for the compatibility of any new portion of a complete system or component, installed with any existing components, or portion, of a complete system. All warranty service/repairs made under this agreement are to be performed during regular working hours.
4. Security Agreement: In order to provide security for the payment of the full price of goods and services furnished hereunder, Customer grants Delightful Duck Cooling and Heating a first priority purchase money security interest in and to any and all goods sold by Delightful Duck Cooling and Heating to Customer (and all products and proceeds thereof) until paid in full. Customer authorizes Delightful Duck Cooling and Heating to file a UCC financing statement to perfect this security interest.
5. Customer Credit Information: Customer acknowledges that Delightful Duck Cooling and Heating is relying upon the information provided in this Agreement to determine whether to extend credit to Customer and in what amount. Delightful Duck Cooling and Heating reserves the right to approve or disapprove any request for extension of credit in its sole discretion. Customer authorizes Delightful Duck Cooling and Heating to contact the Commercial Trade References provided by Customer for the purpose of extending credit and thereafter renewing, maintaining and enforcing the terms of such extension of credit. Customer authorizes the Commercial Bank Reference named herein to release information requested for the purpose of obtaining and/or reviewing Customer’s credit. Customer warrants that it is not a “consumer” under State and Federal Law and Customer certifies that all requests for the extension of credit are for business purposes only and are not intended for the extension of credit for personal, family or household purposes. Customer agrees it has a continuing duty and will inform Delightful Duck Cooling and Heating immediately in writing of any changes to the information provided by Customer in this Agreement. Customer represents to Delightful Duck Cooling and Heating that it is solvent as of the date of this Agreement and continues to warrant and represent each time it places a future order.
6. Risk of Loss: All shipments are made F.O.B. factory. Customer assumes all responsibility for shortages, loss, delay or damage in transit after issuance of a clean bill of lading to Delightful Duck Cooling and Heating or the goods’ manufacturer, and any all claims must be made by Customer against the carrier.
7. WARRANTIES: For all goods sold to Customer, Delightful Duck Cooling and Heating passes on the manufacturer’s warranty, if any, for such goods to Customer. SAID MANUFACTURER’S WARRANTY, IF ANY, IS EXCLUSIVE AND GIVEN IN LIEU OF ALL OTHER EXPRESS AND IMPLIED WARRANTIES OF EVERY TYPE AND KIND IN CONNECTION WITH EVERY SALE OF GOODS AND/OR SERVICES, WHETHER IMPLIED BY OPERATION OF LAW OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE EXCLUDED AND DISCLAIMED IN ALL RESPECTS. Annual maintenance is required to keep your warranty valid. If the equipment failure due to lack of maintenance then you will be responsible for any repairs, diagnostic and labor fees.
8. Cancellations and Returns: Customer may not cancel or return any order of goods without Delightful Duck Cooling and Heating express written consent. Customer agrees that any cancellation or return of goods so authorized by Delightful Duck Cooling and Heating: (i) must be approved in writing by the goods’ manufacturer; (ii) obligates the Customer to timely pay the cancellation/restocking charge of the goods’ manufacturer (which is at least 15%), plus all applicable freight; and (iii) obligates the Customer to pay Delightful Duck Cooling and Heating charges and costs, which may include but is not limited to submittal preparation, factory costs, overhead and profit, and all other fees which shall be enumerated by Delightful Duck Cooling and Heating If customer requests warranty service/repairs to be made on over-time hours, customer will be charged for the difference between regular time and over-time. This additional charge is due upon completion of service call.
9: Orders Placed on Hold After Release for Production: All requests by Customer to place an order on hold must be approved in writing by 8Delightful Duck Cooling and Heating. If Customer requests such a hold, Customer must promptly advise 8Delightful Duck Cooling and Heating in writing: (i) the requested “hold” duration; (ii) the reason for the hold; and (iii) any special requests (e.g., storage). If approved by Delightful Duck Cooling and Heating will provide to Customer an itemization of the costs associated with the requested hold; including, but not limited to, fees and costs associated with submittal preparation, storage, factory costs and material costs.
10: Delivery: All shipping and delivery dates are approximate and are based, in part, on prompt receipt of all necessary information at Manufacturer’s plant. In case of delay in furnishing complete information, shipment or delivery dates may be extended for a reasonable time based on conditions at Manufacturer’s plant. In no event shall Delightful Duck Cooling and Heating be liable for any damages for delays in shipment or delivery. When certain products are unavailable Delightful Duck Cooling and Heating. reserves the right to substitute items of equal or greater value. Unless otherwise stated it will be the responsibility of the property owner or general contractor to obtain permits if required Delightful Duck Cooling and Heating not be responsible for any additional work, material or fees of any nature as a result of permit process.
11: Force Majeure: Delightful Duck Cooling and Heating shall not be liable for delay in delivery (or inability to deliver) due to causes beyond Delightful Duck Cooling and Heating reasonable control due to acts of God, acts of the Customer, or of any civil or military authority, fires, strikes, picketing or boycotts, floods, epidemics, quarantine restrictions, war, insurrection or riot, embargoes, disturbances of production or supply with Delightful Duck Cooling and Heating manufacturer/supplier, trucking or transit shortages, wrecks or delays in transportation, unusually severe weather, or inability to obtain necessary labor, materials or manufacturing facilities due to such causes, and in the event of any such delay the date of delivery shall be extended for a length of time equal to the period of the delay.
12. Damages and Limitation of Liability: IN NO EVENT SHALL CUSTOMER OR ANY THIRD PARTY HAVE THE RIGHT TO RECOVER FROM Delightful Duck Cooling and Heating FOR ANY LOSS, DAMAGE, COST OF REPAIR, OR INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR LIQUIDATED DAMAGES OF ANY KIND (INCLUDING BUT NOT LIMITED TO, LOST PROFITS OR DAMAGES FOR LOSS OF EFFICIENCY OR DELAY TO ANY PROJECT ON WHICH THE GOODS ARE USED OR ORDERED OR INTENDED FOR USE), WHETHER BASED UPON WARRANTY, CONTRACT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER CAUSES OF ACTION ARISING IN CONNECTION WITH THE DESIGN, MANUFACTURE, SALE, TRANSPORTATION, INSTALLATION, USE, OR REPAIR OF THE GOODS OR SERVICES SOLD BY Delightful Duck Cooling and Heating NOTWITHSTANDING THE FOREGOING, CUSTOMER AGREES THAT Delightful Duck Cooling and Heating , IF ANY, SHALL BE EXCLUSIVELY LIMITED TO REPLACEMENT OF ANY NON-CONFORMING GOODS, OR AT Delightful Duck Cooling and Heating . OPTION, REFUND OF THE PURCHASE PRICE PAID FOR SUCH NON-CONFORMING GOODS.
13. Governing Law and Venue: Customer agrees that all issues and disputes relating to this Agreement shall be construed under the laws of the State of California. Customer further agrees that the exclusive jurisdiction and venue for any legal action brought to enforce any and all disputes relating this Agreement shall be Ventura County, California, unless Delightful Duck Cooling and Heating initiates said legal action to enforce statutory remedies (such as enforcing claims on mechanics lien, stop payment notices, payment bonds, etc.) in connection with a debt incurred by Customer; in such case, the jurisdiction and legal venue will be determined by the requirements of the law of the state where such statutory remedies are to be enforced.
14. Severability: If any term, condition or provision of this Agreement is found to be invalid or unenforceable, such term, condition, or provision shall be severed out and the remainder of this Agreement shall be valid and enforceable to the fullest extent permitted by law.
15: Copies and Electronic Signatures: Customer agrees that Delightful Duck Cooling and Heating may, at Delightful Duck Cooling and Heating sole discretion, accept, electronic copy or photocopy of this Agreement, in lieu of an original document. Customer acknowledges that, by transmitting an electronic copy or photocopy of this document to Delightful Duck Cooling and Heating , Customer agrees to be bound by the terms and conditions contained in this Agreement to the same extent as if an original were transmitted to Delightful Duck Cooling and Heating . Customer waives any right to object to the use of a copy in place of the original and any right to require 8Delightful Duck Cooling and Heating to subsequently produce an original.
16: Complete Agreement: This Agreement is the complete written expression of the parties’ agreement and supersedes any prior agreements between Customer and Delightful Duck Cooling and Heating. Delightful Duck Cooling and Heating objects to any additional or conflicting terms transmitted by Customer in any purchase order or other writing. No waiver, alteration or modification by Customer of any of the provisions hereof shall be binding upon Delightful Duck Cooling and Heating unless specifically assented to in a signed writing by an officer of Delightful Duck Cooling and Heating .

Payment Terms

Should any issues arise concerning late payments or non-payment, a late fee may be assessed after a grace period of 15 days post-due date. Continued non-payment may lead to suspension of services, and the account may subsequently be referred to collections or we may put a lien on your property.
